The Problem with Distributor-Held NIEs
Under Indonesian law, the NIE is issued to a single local entity — and only that entity can import and distribute the registered device. When a commercial distributor holds the NIE:
- The distributor effectively "owns" your product's access to the Indonesian market
- If the commercial relationship breaks down, you cannot switch distributors without losing your registration
- The distributor holds significant bargaining power in price and exclusivity negotiations
- If the distributor's IDAK or CDAKB is suspended for any reason, all your NIEs are frozen
This arrangement is convenient for initial market entry but creates serious long-term strategic risk.
What Is a Neutral Licence Holder?
A neutral licence holder is an independent Indonesian company — typically a professional regulatory services firm — that:
- Holds the IDAK + CDAKB licences required to register devices
- Acts as the NIE holder on behalf of the foreign manufacturer
- Manages all regulatory interactions with Kemenkes (Regalkes submissions, clarifications, renewals, change notifications)
- Is separate from the commercial distributor(s)
The commercial distribution of the product is then handled by one or more distributors under a separate commercial agreement — and these distributors can be changed at any time without affecting the NIE.

- Commercial distribution agreement — separate agreement between the manufacturer (or neutral holder) and the commercial distributor(s)
- Exit provisions — what happens to the NIE if the neutral holder relationship ends (typically: NIE cancellation and re-registration with a new holder; plan this in advance)
